The text of each PDF page becomes a chapter in a valid EPUB 2 file, with a navigation entry pointing at it.
That structure is honest about what a PDF actually contains: pages, not chapters. An e-reader will show a contents list of Page 1, Page 2 and so on rather than real chapter titles, because the PDF never recorded where chapters begin. If you want proper chapters you will need to merge and rename sections afterwards in an EPUB editor.
A PDF forces a fixed page size. An EPUB reflows, so you can change the text size and read comfortably on a small screen.
This is the single biggest quality-of-life difference on an e-reader or phone. With a PDF you are zooming and panning around a page designed for paper; with an EPUB the text rewraps to your screen and your chosen font size. Battery life and page-turn speed usually improve too, because the device is laying out text rather than rendering a page image.
Images, page layout, columns and tables are not carried into the EPUB. You get the text.
For a novel or a plain report that loses almost nothing worth having. For an illustrated book, a manual or anything with diagrams, it loses a great deal, and the PDF remains the better copy. Judge by how much of the document's meaning lives in its pictures: if the answer is any significant amount, do not convert.

Check by trying to select a sentence in the PDF. If nothing highlights, run OCR PDF over it first. Expect headers, footers and page numbers to appear inline in the text as well, since the extraction cannot tell them apart from the body — tidying those is the usual first job after converting a long document.
